also there is Aveiconifier just drop png file and drag the result icon from it... edit: but i had test your file...although the png is transparent, the result icon needed extra edit so the background be also transparent.

do you use classic theme in XP ?? if so you can right click on your desktop > properties > appearence > advanced choose from drop down menu: 3D objects if you change this color, it will change your tasbar color but will also change the body color of other windows components... if you use styles, then you had to get a program to modify its parts like Style builder.

Here is mine after porting Vista SideBar

from Folder option show hidden and protected files navigate to C:\Documents and Settings\Username\My Pictures open Dekstop.ini you will find a section [.ShellClassInfo] paste this code but replace "C:/myicon.ico" with the path to your icon: IconFile=C:/myicon.ico IconIndex=0 save it. the icon is changed without any software.
