How do I create a CD Boot Image (SOLVED)

What options does your actual CD provide ?

To modify it, you'll need to extract the floppy image from the cd then edit config.sys and autoexec.bat and then save the floppy then create the new CD image with the new boot floppy.

I don't have a bootable Win98SE CD. Its an upgrade and it gets annoying using my Win98FE just to upgrade to 98SE.

1 - "JO.SYS" is the file

2 - And if the FE is bootable, then just extract the FE boot image and use it to reburn a Bootable SE (FE and SE Boot Images are nearly identical)

edit - there's also a (cough-hack) to allow using an upgrade as a full (but you need a "full" key to use it)

I'm about to toss the Win98 FE in the garbage because I don't need it any more.

I finally have a bootable 98SE disk. It is a full upgrade but with no booting options.

No, don't do it. Keep it as a memento from the times there was no 98SE. A CD doesn't take that much space. :)
