Application Failed to Initialise (usrprbda.exe)

Slipstreamed XP Pro SP2, brand new clean install from a winnt.sif file

Whenever I shutdown I get a brief glimpse of

Application failed to initialise because the workstation is shutting down

The title of the dialog is UsrPrbDa.exe.

Anyone know what could be causing this? I have a US Robotics modem, and this file shows up in the driver file-list for the modem. But it's a signed Microsoft driver, and Windows Update shows no new version available.

Any ideas?

dont use windows update for drivers

try download an updated driver from there site (ive never heard of this prob b4)
