is there some sort of "rescue CD" or PE like ERD for 9x/ME, but that can reckognise empty/raw/non formated hard disk

and format it to FAT32 ?

(don't tell me to use 98/ME boot cd, that one failed)

Yes... it's called "OEMSETUP.EXE"... An OEM "bootable" CD has the necessary Boot Image embedded in the CD... It ONLY recognizes IDE (PATA, with a size limitation), and NOT SATA.
