Here's what i know:

winnt.sif = is to be placed inside I386 folder..

and what about the batch file?? (winnt.bat)

any help is much appreciated.

winnt.sif :whistle: winnt.bat is not needed unless you're going to run a setup from windows-environment and not direct from the cd.

You don't need winnt.bat if you do an unattended CD install.

To answer you question specifically, the file is generated by Setup Manager presumably because it thinks you want to do an install from a distribution share on a network or local disk. It runs winnt32 with switches and variables. It normally resides inside the dist share folder but there's no strict requirement when it should reside provided you can access it and change the variables accordingly.
