PHP unable to fork

Ok I have some code that I wrote awhile ago and had to move server. I'm getting a strange error unable to fork. Which of course my first instict was permissions. So I went to cmd.exe cmd32.exe temp directory and then the executables that I'm trying to execute and get them full access. Still unable to fork. I then read a post that you have to inscrease the memory size for php so I increased that still getting the same error... I'm stuck I can't figure out what else to look for. Anybody have any sugestions?
