Unattended Upgrade Win2K to XP Pro

This may be a dumb question but i have searched through out this forums and have gotten mixed answers so I just wanted to be clear. I am trying to do an unattended upgrade from Win2K to XP Pro, the only problem is that when I do /unattend:%AnswerFile% it does a fresh install. I want to retain all of the settings from the previous installation and not have to enter yes for the EULA agreement and the S/N. I have tried using NtUpgrade=Yes and does not work. Any help would be appreciated as i have to do 350 PC's by Sept 20th and was just informed last week.
