You need to backup your data and then do a fresh install of server 2003. Why do you want to upgrade. I assume you know server 2003 is not really meant to work like a workstation. By the way, Server2003 seems to run much faster and reliable on my laptop (Fujitsu Siemens Amilon 8830).
