Stop error after creating unattend install

I get the following error after setup copies everything over and reboots...

STOP: C000021a

The windows logon process terminated unexpectedly with a status of 0xc0000354

The system has been shut down

I tried searching for this error all over and cannot find anything relevant.

Anyone experience this

I have tried eliminating some of the older updates and this is still an issue.

Note: This is an XP reinstall CD from Dell without any service packs in it.

I may have a non-manufacturer OEM copy at home of Pro that I could use for the image, will that work, or do you need a retail version?

Well, I found my OEM XP Pro CD at home, but it has SP1 already intergrated in it. Lets see if this one works properly.
