I don't know what the deal is but something is definitely wrong.

I tried copying setupdd.sys from my sp2 folder and while installation finished, files were messed up (no IE, etc)

any help would be great

You can now officially download SP3 RC2 from the Microsoft website:

Perhaps this much newer build will resolve any issues you are running into.

I was playing with it and found out that OEMPNPDRIVERSPATH was left blank. What was ok with Sp2 wasn't so with sp3. Commented that line and it works fabulous. I think nobody will have same problem but wanted to give anyone a heads up.
