Odd error - Priviliged Instruction

hello.

I have Windows XP (SP2). I face the following problem in a sporadic manner:

When I shut down windows it gives a message about something related to Windows Explorer (not IE) even when explorer is closed and then a small dialog box pops up having the text "Priviliged Instruction". Then I have to click on the OK button (depending on how many times this dialog box pops up) and then windows shuts down.

Can someone please help.
