Help me convert XP Pro to MCE

I'm interested in converting my XP Pro to MCE2005, however all the guides I've seen are overly complicated or won't work in my situation. So, could you guys give me instuctions to do so. I don't have an MCE CD, but I can get the 2nd XP CD off a mate of mine so instructions to do it with that would be nice. Also all the guides I seen say it needs .net Framework 1.0, however I have Framework 3.0 on my pc if that will affect it. Also please let me know if it will affect my ability to join domains, as I plan on joining it to one.
