I have one laptop (xp) with ethernet port, one pc (xp) with two ethernet port and dsl modem.

i want something like

modem -> pc (internet proxy) -> laptop

How can i do it? Any pointers would be helpful and apprecited.

Set up Internet Connection Sharing on the PC. Here's how: Internet Connection Sharing with Windows XP.

All you need is a crossover ethernet cable. Manually assign IP addresses (or use ICS as previously suggested) then in the Internet Options/Connections/LAN Settings of the laptop enter your Proxy data.
