Photoshop & XP 64bit Problem

I'm Having a serious problem with Photoshop CS & CS2 and XP 64 bit on Two

Computers. Both are AMD 3800x2's with 2gb ram, ATI 9550 video cards.They

seem to run most other applications fine (Office 2003, Nero 6.0.16, Nero

Vision 3.0, DVD shrink, etc). Both versions of Photoshop Install, open,

and work fine until You close Photoshop. Upon closing I get a Blue Screen

and the error "Kernel_APC_Pending During Exit". It's defenitly a problem

with XP 64 bit because both computers are dual boot and there is no

problem in 32 bit XP Pro. Anyone have any idea's that may help?
