the windows/winnt folder, alias systemroot, contains the folders system32 and system. They are indeed needed.

There will be no serious consequenses at all if you delete a folder named system witch is not a child folder in the systemroot.

Its not a windows system folder ... those are located in the windows folder. Anyway, if it doesn't contain anything it would'n matter even if it were. Just delete it if you like.
