Purchasing OEM XP home edition

Mr. X has to remove all instances of whatever was installed from that CD, destroy any backups of that CD, and then transfer (or sell) that CD in accordance with its EULA to Mr. Y.

But, OEM CDs are licensed in a slightly different manner - you get the CD from the OEM, and if the OEM takes it back, its OK. But you can't sell OEM CDs to someone else - you can only get it with an OEM machine purchase, and its yours forever. (someone correct me if this is wrong)

prathapml is correct.

However, Contact the source of the OEM CD you bought it from and you may formaly request to sell the OEM CD. There are procedures in place. The Microsoft OEM Builder that sold you the OEM CD is required to assist you as it is part of agreement between Microsoft and all Microsoft OEM Builders.

There are exceptions to the above. The source may be out of business or the Microsoft Corp/Microsoft OEM Builder agreement terminated. As an individual you may also contact Microsoft for assistance.
