Upgrrade CD

I have an OEM Cd from my newer computer, it is XP home edtion. Is there a way I can use this CD to make an unattended upgrade CD for my older computer that has Win 98? Can I use the product key from the Win 98 CD, or would I have to buy a new lisence.
