May be possible to use MS's diskpart.exe. A command line tool you'd call prior to your winnt32 command.

I have found that this product key requires quotes around it.
If the product key seems to mysteriously start to work chances are it has been manually entered and next time everything is started extremely clean it won't work.

Could just do it the lazy way. Create the new Boot.ini as boot.new. Copy to HD.
Run .CMD file
@Echo Off
Attrib -r -h -s Boot.ini
Rename boot.ini to boot.old
Copy Boot.new to boot.ini
Attrib +r +h +s Boot.ini
Pause
